Monarch Financial Holdings Completes Capital Offering and Raises $20.0 Million

CHESAPEAKE, Va., Dec. 3 /PRNewswire-FirstCall/ — Monarch Financial Holdings, Inc. announced today that it has completed the public offering of its 7.80% noncumulative convertible perpetual preferred stock previously announced on October 14, 2009. In the offering, for which Scott & Stringfellow, LLC was the sole underwriter, the Company issued a total of 800,000 shares of its 7.80% noncumulative convertible perpetual preferred stock on December 3, 2009 at a price of $25.00 per share for gross proceeds of $20 million.

Monarch had initially filed to offer 650,000 shares of preferred stock, but decided to increase the offering to 700,000 shares due to strong demand. As the result of the underwriter’s full exercise of its option to purchase additional shares, the Company issued an additional 100,000 shares on December 3, 2009 at a price of $25.00 per share for additional gross proceeds of $2.5 million. The 700,000 shares sold, plus the underwriter’s full exercise of its option to purchase 100,000 additional shares, resulted in the sale of a total of 800,000 shares.

The annual dividend rate was set at 7.80% and each share may be converted into 3.125 shares of common stock, which equates to an $8.00 per share conversion price, subject to certain adjustments. The preferred shares have been approved for quotation on the Nasdaq Capital Market under the symbol “MNRKP”. The net proceeds from this offering will be used for general corporate purposes, including the possible redemption of the Company’s Series A preferred stock and warrant issued to the U.S. Treasury as part of the Capital Purchase Program.

Teen guilty of modified plate

A TEENAGER who modified his car number plate to look like his own name was pounced on by police in Cheltenham.

Andrew Bubb,19, adjusted the number plate on his car – A3 UBB – to look like A BUBB, magistrates in Gloucester heard yesterday.

Bubb, of Rectory Farm, Maisemore, pleaded guilty to owning a vehicle with a registration plate displaying incorrectly sized characters and spacing.

Bubb also pleaded guilty to driving his Citroen Saxo in Albion Street on March 22 without insurance.

He told magistrates: “I believed that I did have insurance as my brother took it out online.

“But the insurance company told me that they had no details because there was a fault in their computer system.”

Magistrates adjourned the case to a date to be fixed for a special reasons hearing to decide whether or not to endorse the defendant’s licence with penalty points.
